Terms of Use

These Terms of Use ("Terms") are a binding agreement between you and Venet, a platform operated as part of Bluethenics ("Venet", "we", "us", or "our"). They govern your access to and use of the Venet website, applications, and services (together, the "Service"). By applying for membership, creating an account, or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. Who can use Venet
You must be at least 18 years old and able to form a binding contract. Venet is a private, invitation-and-application-based community for founders. Membership is granted at our sole discretion and may be declined or revoked. You agree to provide accurate, current, and complete information in your application and profile, and to keep it up to date. One person may hold one account; you are responsible for all activity under your account and for keeping your login secure.
2. What Venet is — and what it is not
Venet is a software and networking platform that helps vetted founders discover one another, communicate, collaborate, and document agreements using self-service tools and templates. Venet is not:
- a broker, dealer, broker-dealer, funding portal, investment bank, or crowdfunding platform;
- an investment adviser, financial adviser, legal adviser, tax adviser, or accountant;
- a party to, guarantor of, escrow agent for, or intermediary in any transaction, investment, or agreement between members.
Nothing on the Service is an offer or solicitation to buy or sell any security, or investment, legal, tax, or financial advice. Any templates, tooltips, or educational material are provided for convenience only and are not a substitute for professional advice.
3. Membership tiers and payments
Venet offers a free membership and paid tiers (currently "Venet Pro" and "Founding Member"). Prices, features, and availability are shown at the point of purchase and may change on a prospective basis. Paid tiers are billed on a recurring basis (monthly or annual) until cancelled.
Payments are processed by Dodo Payments, which acts as our Merchant of Record and authorized reseller. Dodo Payments handles the transaction, billing, and applicable taxes, and your purchase is also subject to Dodo Payments' terms. We do not receive or store your full card details. By subscribing you authorize recurring charges to your chosen payment method. "Founding Member" pricing, where offered, is limited in number and, once granted, remains at the stated price for as long as the subscription stays active and uninterrupted.
4. Cancellation and refunds
You may cancel a paid subscription at any time from your account settings or the billing portal. When you cancel, your paid features remain active until the end of the period you have already paid for, after which your account reverts to the free tier and paid-only features (including any "raising" visibility and deal-room creation) are disabled. Except where required by law or expressly stated, payments are non-refundable and we do not provide partial or pro-rated refunds for unused time. Refund requests, where applicable, are handled together with Dodo Payments.
5. Founder-to-founder connections, deal rooms, and investing
This section is important. Please read it carefully.
Venet may let members signal that they are raising or investing, connect, and use "deal room" tools and document templates (such as SAFEs, convertible notes, equity agreements, or simple pledges) to record understandings between themselves. These are tools you use at your own discretion and risk. You acknowledge and agree that:
- Any decision to raise, invest, lend, or commit money is solely between the members involved. Venet is not a party to it and takes no responsibility for it.
- Investing in early-stage companies is high risk; you may lose your entire investment. There is no guarantee of any return, outcome, valuation, or that any deal will complete.
- Document templates are starting points, not legal advice, and may not suit your situation or be valid in your jurisdiction. You must obtain your own independent legal, tax, and financial advice before entering into any agreement.
- You are solely responsible for complying with all laws that apply to you and your transactions, including securities, company, tax, anti-money-laundering, and KYC laws in every relevant jurisdiction.
- You are responsible for verifying the identity, representations, and suitability of anyone you deal with. Vetting for membership is not an endorsement, recommendation, or diligence of any member or opportunity.
- Any money that changes hands between members does so directly between them through their own arrangements; Venet does not hold, transmit, escrow, or manage member investment funds.
6. Acceptable use
You agree not to: misrepresent yourself, your company, or your track record; spam, harass, defraud, or abuse other members; post unlawful, infringing, or misleading content; solicit members for purposes unrelated to the community's purpose; scrape, harvest, or resell member data or content; attempt to bypass access controls, security, or membership gating; or use the Service to violate any law. We may remove content, and suspend or terminate accounts, that breach these Terms or harm the community.
7. Your content
You retain ownership of the content you submit (profile, business information, activity logs, documents, messages). You grant us a non-exclusive, worldwide, royalty-free licence to host, store, display, and process that content solely to operate and improve the Service and to show it to other members according to your chosen visibility settings. You are responsible for your content and confirm you have the rights to share it.
8. Our intellectual property
The Service, including its software, design, text, and the Venet and Bluethenics names and logos, is owned by us or our licensors and protected by law. We grant you a limited, non-transferable, revocable licence to use the Service for its intended purpose. You may not copy, modify, distribute, reverse-engineer, or create derivative works from the Service except as permitted by law.
9. Third-party services
The Service relies on third parties including Google Firebase (hosting, database, authentication), Dodo Payments (payments), and email and analytics providers. Your use of the Service also involves their processing of data as described in our Privacy Policy. We are not responsible for third-party services' own acts, and links to external sites are provided for convenience only.
10. Disclaimers
The Service is provided "as is" and "as available", without warranties of any kind, whether express or implied, including fitness for a particular purpose, non-infringement, accuracy, or uninterrupted or error-free operation. We do not warrant any results from using the Service, including any connection, deal, funding, or business outcome.
11. Limitation of liability
To the fullest extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, goodwill, or investment, arising out of or related to your use of the Service or any dealings with other members. To the extent we are found liable, our total aggregate liability will not exceed the amount you paid us for the Service in the three (3) months before the event giving rise to the claim, or ₹5,000, whichever is greater.
12. Indemnity
You agree to indemnify and hold us harmless from any claims, losses, liabilities, and expenses (including reasonable legal fees) arising from your use of the Service, your content, your transactions or dealings with other members, or your breach of these Terms or of any law.
13. Suspension and termination
We may suspend or terminate your access at any time, with or without notice, if you breach these Terms, create risk or legal exposure, or if we discontinue the Service. You may stop using the Service at any time. Sections that by their nature should survive termination (including ownership, disclaimers, limitation of liability, indemnity, and governing law) will survive.
14. Changes to these Terms
We may update these Terms from time to time. If we make material changes, we will take reasonable steps to notify you (for example, by email or an in-app notice). Your continued use of the Service after changes take effect means you accept the updated Terms.
15. Governing law and disputes
These Terms are governed by the laws of India, without regard to conflict-of-laws rules. Subject to any non-waivable rights you have, the competent courts of India will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service. Before starting formal proceedings, you agree to contact us in good faith to try to resolve the matter.
